Terms of Service

The baseline terms for using Codenskills and managing company-owned skill access.

1. Agreement and eligibility

Effective July 14, 2026. These Terms govern access to the Codenskills website, company Workspace, hosted connectors, MCP endpoints and related services. If your company has an Order Form, master agreement or other signed contract with Codenskills, that agreement controls where it conflicts with these Terms.

You must be authorized by the customer company and legally able to enter this agreement. Codenskills is a business service and is not intended for personal consumer use or for children under 16.

2. Provisioned company access

Codenskills is provisioned per company. Authentication alone does not create a Workspace or product entitlement. The applicable Codenskills entity creates the customer Workspace and invites its first Owner; the customer then manages named users, roles and access according to its agreement and Workspace policy.

3. Customer content and responsibility

As between Codenskills and the customer, the customer retains its rights in the skill packages, source materials, metadata and other content it submits. The customer grants Codenskills the limited rights needed to host, process, scan, reproduce and deliver that content to provide and secure the Service.

You must have the rights and permissions needed for content you submit. Do not upload unlawful content, secrets that should not be shared, malware, infringing material or personal data that the customer is not authorized to process.

4. Acceptable use

You may not bypass access controls; share credentials outside their intended scope; probe or disrupt the Service; introduce malicious code; use the Service to violate law or another person's rights; misrepresent a security or approval state; scrape the Service at unreasonable volume; or attempt to reverse engineer non-public components except where law expressly permits it.

5. Workspace administration

Customer Owners and Admins are responsible for invitations, roles, reviewer assignments, policy criteria, access grants, connected clients and removal of users who should no longer have access. Approval and security signals support customer governance but do not replace the customer's own review, legal or compliance obligations.

6. Security and credentials

Keep passwords, access keys, OAuth authorizations and signed install links confidential. Notify notifications@codenskills.com promptly about suspected compromise. Codenskills may suspend a credential, connection or request that threatens the Service, a customer Workspace or another user.

7. Fees and commercial terms

Fees, licensed capacity, payment dates, taxes, pilot terms, renewal and cancellation are set out in the applicable Order Form or other agreement. Public authentication does not create a free plan. If Stripe billing is enabled, the customer authorizes the stated charges and remains responsible for accurate billing and tax information.

8. Service changes and availability

We may improve, replace or discontinue features while preserving any commitments in a signed customer agreement. The Service may be unavailable during maintenance, provider outages or security events. Preview or beta features may change and may be subject to additional terms.

9. Suspension and termination

Codenskills may suspend access for material breach, security risk, unlawful use or non-payment as allowed by the customer agreement and law. On termination, customer access ends and content is handled under the applicable agreement and Privacy Policy. Suspension does not waive amounts already due.

10. Disclaimers and liability

Except for warranties expressly stated in a signed agreement and to the extent permitted by law, the Service is provided as available and without implied warranties. Security scans, findings and approval workflows are decision-support tools and cannot guarantee that a skill is error-free, secure or suitable for every use.

Any exclusions, liability caps, indemnities, governing law and dispute terms are those in the applicable signed customer agreement. Where no signed agreement applies, mandatory law remains unaffected and liability is limited to the maximum extent the law permits.

11. Contact and changes

We may update these Terms by posting a revised version and effective date. Material changes affecting an active customer will be handled as required by its agreement and applicable law. Questions can be sent to notifications@codenskills.com.
